These Terms of Service ("Terms") govern access to and use of the websites, applications, APIs, software, AI systems, dashboards, and related services (collectively, the "Services") provided by Axel Technologies Inc. ("Axel," "Company," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

Axel Technologies Inc. is a Delaware corporation that develops AI-powered software platforms designed to help retailers, brands, and commerce organizations identify revenue opportunities, optimize operations, and improve business performance.

You must: Be at least 18 years old; have authority to enter into a binding agreement; use the Services only for lawful business purposes. The Services are intended for commercial use.

To use certain features, you may be required to: create an account; provide accurate information; maintain confidentiality of login credentials. You are responsible for all activity under your account.

Axel provides AI-powered analytics and automation tools that may include: revenue opportunity identification; AI-generated proposals; performance analytics; business dashboards; conversational AI interfaces; APIs and integrations. The Services may evolve over time. We reserve the right to modify, suspend, or discontinue features.

A. Ownership — You retain ownership of data you upload or submit (“Customer Data”). B. License to Axel — You grant Axel a limited, non-exclusive license to use Customer Data solely to: provide the Services; improve system functionality; ensure security and performance; generate aggregated or anonymized insights. C. Responsibility — You are responsible for: having rights to upload Customer Data; ensuring lawful use of personal data.

The Services may generate AI-driven insights, recommendations, or content ("Outputs"). Important: Outputs are provided for informational purposes only; Axel does not guarantee accuracy, completeness, or fitness for a particular purpose; you are responsible for reviewing and validating Outputs before acting on them. Axel is not liable for business decisions made based on AI-generated content.

A. Axel IP — All rights, title, and interest in the platform, AI models, algorithms, software, interfaces, branding, and documentation remain the exclusive property of Axel Technologies Inc. B. Restrictions — You may not: reverse engineer; decompile; copy or replicate the platform; train competing models using our Outputs; resell or sublicense the Services without permission.

Both parties agree to protect confidential information disclosed in connection with the Services. Confidential information does not include information that: is publicly available; was independently developed; is disclosed under legal obligation.

If Services are provided for a fee: payment terms will be outlined in a separate agreement or order form; fees are non-refundable unless otherwise specified; late payments may result in suspension. Enterprise agreements may override this section.

You agree not to: use the Services unlawfully; upload harmful code; attempt unauthorized access; interfere with system integrity; use the Services to build competing products; violate intellectual property rights. We reserve the right to suspend accounts for violations.

The Services may integrate with third-party platforms or AI providers. Axel is not responsible for: third-party outages; data practices of third parties; external integrations beyond our control.

We implement commercially reasonable security measures. However: no system is completely secure; you acknowledge inherent risks in transmitting information online.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." AXEL DISCLAIMS ALL WARRANTIES, INCLUDING: MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY OF AI OUTPUTS; UNINTERRUPTED SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: AXEL SHALL NOT BE LIABLE FOR: INDIRECT DAMAGES; LOST PROFITS; LOST DATA; BUSINESS INTERRUPTION; CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO AXEL IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold Axel harmless from claims arising out of: your misuse of the Services; violation of these Terms; Customer Data uploaded by you; business decisions based on Outputs.

We may suspend or terminate access: for breach of Terms; for non-payment; if required by law. Upon termination: access ceases; certain sections survive (IP, liability, indemnification, confidentiality).

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

We may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance.
